Norvio

1. Purpose and scope

These terms and conditions of sale (hereinafter "T&Cs") govern all services provided by CJRM Studio LLC, trading under the Norvio brand (hereinafter "Norvio", "the Provider"), to its professional clients (hereinafter "the Client"): website creation, visual identity, Google Business profiles, maintenance, hosting and related services.

Any order implies the Client's full and unreserved acceptance of these T&Cs, which the Client acknowledges having read prior to signing the quote. These T&Cs prevail over any other document of the Client, unless otherwise agreed in writing by Norvio.

2. Quote and order

Each service is the subject of a quote specifying the nature of the services, their price and their terms. The quote is valid for thirty (30) days from its issue.

The order becomes firm and final upon signature of the quote by the Client and payment of the deposit set out in Article 4. Signing the quote constitutes acceptance of these T&Cs.

3. Prices

Prices are stated in euros (€) and correspond to the amount shown on the accepted quote. Any additional services requested by the Client during the project are the subject of an additional quote.

Given the Provider's place of establishment, prices are exclusive of French taxes; the applicable VAT regime is specified on the quote and invoice.

4. Payment terms

Unless otherwise stated on the quote, the Client chooses one of the following methods:

Payments are made through the payment service provider Stripe (card, Apple Pay, SEPA direct debit), in compliance with PSD2 and GDPR standards. Any subscriptions (maintenance & hosting) are charged monthly according to the terms of the quote.

5. Non-refundable deposit

The deposit paid on order covers project kick-off and the reservation of production resources. It is definitively acquired by Norvio and non-refundable, including in the event of cancellation, withdrawal or abandonment of the project by the Client, for any reason whatsoever.

6. Instalment payment — acceleration clause

Where payment is made in instalments, failure to pay any single instalment when due renders the entire remaining balance immediately payable, without prior formal notice, and entitles Norvio to suspend all services until full settlement.

Any late payment may give rise to late-payment penalties and a fixed recovery-cost indemnity, under the conditions provided by law.

7. Retention of title and suspension of service

The deliverables (website, source code, designs, content and any element produced by Norvio) remain the exclusive property of Norvio until full payment of the agreed price. Until the balance is settled, the Client holds no ownership or usage rights over these deliverables.

In the event of non-payment, Norvio reserves the right to suspend access to the website and/or take it offline, and to retain the sums already paid, without such suspension constituting a breach by Norvio of its obligations.

8. Lead times and delivery

Delivery times are provided for guidance on the quote. They run from receipt of the deposit and of all elements required for the project (content, access, approvals). Any delay attributable to the Client extends the lead times accordingly.

Delivery is deemed accepted in the absence of written reservations from the Client within seven (7) days of being made available.

9. Client obligations

The Client undertakes to provide, in good time, all information, content and access required, and to warrant that it holds the rights to the elements it provides (text, images, trademarks). The Client remains solely responsible for the content it supplies.

10. Maintenance and hosting

Maintenance and hosting are provided through a monthly subscription with no commitment, cancellable at any time, the price of which is specified on the quote. Failure to pay the subscription entitles Norvio to suspend hosting and related services after notifying the Client.

11. Intellectual property

Subject to full payment of the price, Norvio assigns to the Client the rights to use the final deliverables for the purpose set out in the quote. Norvio retains ownership of its methods, know-how, tools and reusable components, as well as the right to mention the work in its portfolio, unless the Client objects in writing.

12. Right of withdrawal

As the services are concluded between professionals and produced on a bespoke basis, they do not fall within the scope of the right of withdrawal applicable to consumers. The professional Client expressly waives any reliance on it.

13. Liability

Norvio is bound by an obligation of means. Its liability shall not be engaged for indirect damages, nor beyond the total amount actually paid by the Client for the relevant service. Norvio cannot be held liable for interruptions attributable to the hosting provider or to third parties.

14. Personal data

The processing of personal data is detailed in our Privacy Policy, in accordance with the General Data Protection Regulation (GDPR — EU 2016/679).

15. Applicable law and disputes

These T&Cs are governed by the law of the State of Wyoming (United States), without prejudice to the mandatory provisions applicable. Failing an amicable resolution, any dispute shall be brought before the competent courts.
